24. (Recommended by Senior Assistant General Manager – Water System) (Approved by General Manager and Chief Engineer) Approval of Sierra Peak Communications Use Lease No. TRD103702 with the United States Department of Agriculture, Forest Service for a term of 30 years. Determine item is exempt pursuant to CEQA Guidelines Section 15060(c)(3).

25. (Recommended by General Counsel Water and Power) (Approved by General Manager and Chief Engineer) Approval of Waiving the Potential Conflict of Interest for Thompson Coburn’s Representation of the Harbor Department. Determine item is exempt pursuant to CEQA Guidelines Section 15061(b)(3).

26. The Board shall recess into closed session for a conference with legal counsel regarding:

A. Existing litigation in the following matters:

1. City of Los Angeles v. Pricewaterhouse Coopers LLP (PwC), Los Angeles Superior Court Case No. BC574690 (including current appeals and designated related cases), pursuant to Section 54956.9(a) of the California Government Code.

2. In re Paul Oliva Paradis, United States Bankruptcy Court, District of Arizona, Case No. 2:20-bk-06724-MCW, pursuant to Section 54956.9(a) of the California Government Code.

3. In re Ardent Cyber Solutions, United States Bankruptcy Court, District of Arizona, Case No. 2:20-bk-06722-PS, pursuant to Section 54956.9(a) of the California Government Code.

B. Consultation with General Manager and Chief Engineer of the Los Angeles Department of Water and Power (including security operations and infrastructure security) regarding security issues pertaining to the essential public services (water and electric service and security matters related thereto), pursuant to Section 54957(a) of the California Government Code.

C. Evaluation of Performance of General Manager: Pursuant to California Government Code Section 54957(b)(1), the Board shall meet in closed session to evaluate the performance of the General Manager. The Board shall publicly report any action taken in closed session and the vote or abstention of every member present thereon, in accordance with Section 54957.1 of the California Government Code.
